Terms of Service

Rahul Precision Works Pvt Ltd

1. Introduction

These Terms of Service (“Terms”) govern all sales, supplies, quotations, services, and business transactions
undertaken by Rahul Precision Works Pvt Ltd (“Company”, “we”, “our”, “us”) with its customers (“Customer”, “Buyer”).

By placing a Purchase Order, accepting a quotation, or engaging in business with us, the Customer agrees to be bound
by these Terms.

 

2. Scope of Services

Rahul Precision Works Pvt Ltd is engaged in manufacturing and supply of precision engineering components, hot coiled
helical springs, elastomeric, and metal to rubber bonded industrial products.

All supplies are subject to technical specifications, drawings, standards, and agreements mutually accepted in
writing.

 

3. Quotations & Purchase Orders

  • All quotations are valid for
    15 days
    unless otherwise stated.
  • Orders become binding only upon written acceptance by the Company.
  • Any modification to specifications must be confirmed in writing.
  • Tooling, patterns, and development costs (if applicable) will be quoted separately.

 

4. Pricing & Taxes

  • Prices are exclusive of GST unless explicitly mentioned.
  • Applicable taxes, duties, freight, packing, and insurance shall be charged depending on the offer provided to the
    customer/buyer.
  • Any change in statutory taxes or duties after order confirmation shall be borne by the Customer.

 

5. Payment Terms

  • Payment terms shall be as agreed in the Purchase Order or Proforma Invoice.
  • In case of delayed payment, interest may be charged at
    18% per annum
    from the due date.
  • The Company reserves the right to suspend supplies in case of overdue payments.

 

6. Delivery & Risk

  • Delivery timelines are indicative unless specifically agreed as firm.
  • Delay due to force majeure events shall not result in penalties.
  • Risk in goods passes to the Customer upon dispatch from the Company’s premises.
  • Transit insurance shall be arranged as mutually agreed.

 

7. Inspection & Acceptance

  • If inspection is required (including third-party or customer inspection), it must be specified at the time of order.
  • Any rejection must be communicated within
    7 days
    of receipt.
  • Rejected goods must not be used, altered, or processed.

 

8. Warranty

  • The Company warrants that products will conform to agreed specifications at the time of dispatch.
  • Warranty is limited to repair or replacement of defective goods.
  • The Company shall not be liable for indirect, incidental, or consequential damages.

 

9. Tooling & Development

  • Tooling developed specifically for the Customer may remain Company property unless otherwise agreed.
  • Tool maintenance costs may be charged separately.
  • The Company is not responsible for tool life beyond agreed production volumes.

 

10. Intellectual Property

All designs, drawings, manufacturing processes, technical know-how, and documentation remain the intellectual property
of Rahul Precision Works Pvt Ltd unless contractually transferred.

Customer-supplied drawings remain the property of the Customer.

 

11. Limitation of Liability

The Company’s total liability shall not exceed the value of the goods supplied under the specific order in dispute.

Under no circumstances shall the Company be liable for:

  • Loss of profits
  • Business interruption
  • Indirect or consequential damages

 

12. Force Majeure

The Company shall not be liable for delays or failure due to events beyond reasonable control, including but not
limited to:

  • Natural disasters
  • Government restrictions
  • Labor disputes
  • Supply chain disruptions
  • War or civil unrest

 

13. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, technical data, and commercial terms.

 

14. Termination

The Company may terminate or suspend supply if:

  • Payment defaults occur
  • Customer breaches contractual obligations
  • Insolvency or bankruptcy proceedings are initiated

 

15. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts located in
Indore, Madhya Pradesh
.

16. Amendments

The Company reserves the right to update these Terms at any time. The latest version shall be binding for future
transactions.
